INTERRENT ANNOUNCES $85 MILLION BOUGHT DEAL EQUITY OFFERING
Ottawa, Ontario(March 8, 2018) – InterRent Real Estate Investment Trust (TSX-IIP.UN) (“InterRent” or the “REIT”) announced today that it has entered into an agreement with a syndicate of underwriters co-led by Desjardins Capital Markets and BMO Capital Markets (the “Underwriters”) to purchase 8,700,000 trust units of InterRent (the “Trust Units”) at a price of $9.78 per Trust Unit for gross proceeds of approximately $85 million on a bought deal basis (the “Offering”).
InterRent has also granted the Underwriters an over-allotment option to increase the size of the Offering by up to an additional 1,305,000 Trust Units ($12,762,900), such option being exercisable in whole or in part at any time prior to 30 days after the closing of the Offering.
The net proceeds from the Offering will be used to repay existing indebtedness from previous acquisitions, fund future acquisitions and for working capital and general trust purposes. Pro forma the Offering and the intended use of proceeds therefrom, InterRent’s leverage will decline to approximately 45% of gross-book-value.
Closing of the Offering is anticipated to occur on or about March 28, 2018 (the “Closing Date”) and is subject to the receipt of applicable regulatory approvals including approval of the Toronto Stock Exchange.
The Trust Units will be offered in all provinces and territories of Canada by way of a short form prospectus.
